Terms of Service

1. The Service

Campus is a cloud-based school management platform that helps Institutions manage classrooms, assignments, grades, people, invitations, subscriptions, and related school operations. Features may vary by plan, region, and configuration.

We may modify, suspend, or discontinue any part of the Service at any time, including features, integrations, storage limits, or supported devices. Where practicable, we will provide reasonable notice of material adverse changes.

2. Eligibility and accounts

You must be able to form a binding contract and comply with applicable law. If you use Campus on behalf of a school or organization, you represent that you have authority to bind that organization.

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of unauthorized access.

3. School responsibilities

Institutions are responsible for their users, content, permissions, compliance with education and privacy laws, accuracy of records, consents, and instructions given to us regarding student and staff data.

Institutions must not upload unlawful content or personal information they are not authorized to share. Institutions remain responsible for backup and export of critical records where required by their policies or law.

4. Acceptable use

You agree not to misuse the Service. Prohibited conduct includes:

• Violating law or third-party rights.
• Attempting to gain unauthorized access, probe, or disrupt the Service.
• Uploading malware, spam, or harmful code.
• Harassing, threatening, or discriminating against others.
• Reverse engineering or copying the Service except as permitted by law.
• Using the Service to build a competing product using non-public aspects of Campus.
• Circumventing usage limits, billing controls, or security measures.

5. User content and educational records

Institutions and users retain ownership of content they submit to Campus, including assignments, files, grades, and messages. You grant Assign Nest a limited license to host, process, transmit, display, and back up that content solely to operate, secure, and improve the Service as permitted by these Terms and applicable law.

We are not responsible for the accuracy, legality, or quality of user content. Removal of content does not relieve Institutions of recordkeeping obligations under applicable education or employment law.

6. Subscriptions, pricing, and payments

Paid plans, usage limits, and pricing are described at signup, in the Service, or in an order form. Fees are billed in advance unless stated otherwise and are non-refundable except where required by law or expressly stated in writing.

We may change prices, plans, taxes, or billing terms on a go-forward basis with reasonable notice. Continued use after the effective date of a price change constitutes acceptance unless you cancel before renewal.

Failure to pay may result in suspension or termination of access. Payment processing may be provided by third parties, and their terms may apply to payment transactions.

7. Beta and experimental features

We may offer preview, beta, or experimental features. These are provided "as is," may change or be withdrawn at any time, and may be less reliable than generally available features.

8. Intellectual property

Assign Nest and its licensors own the Service, software, branding, documentation, and all related intellectual property rights, except for user content. No rights are granted except as expressly stated in these Terms.

9. Third-party services

The Service may integrate with third-party services such as authentication, file hosting, analytics, or payment providers. We do not control third-party services and are not responsible for their acts or omissions. Your use of third-party services may be subject to separate terms.

10. Privacy

Our Privacy Policy describes how we handle personal information. By using the Service, you acknowledge that we will process personal information as described there and as instructed by Institutions where applicable.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSIGN NEST DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that the Service will meet your requirements, that data will never be lost or corrupted, that defects will be corrected, or that the Service will be available at all times.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSIGN NEST AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, ASSIGNMENTS, GRADES, EDUCATIONAL RECORDS, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSIGN NEST'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU OR YOUR INSTITUTION TO ASSIGN NEST FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You will defend, indemnify, and hold harmless Assign Nest from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your content, your violation of these Terms, or your violation of law or third-party rights, except to the extent caused by Assign Nest's gross negligence or willful misconduct.

14. Suspension and termination

We may suspend or terminate access immediately for breach of these Terms, non-payment, security risk, legal requirement, or prolonged inactivity. Institutions may terminate use according to plan terms.

Upon termination, your right to use the Service ends. We may delete or retain data as described in our Privacy Policy and applicable law. Sections that by nature should survive will survive termination.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules, except where mandatory consumer or data protection laws of your country of residence provide otherwise.

Except where prohibited, disputes will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing prevents either party from seeking injunctive relief for misuse of intellectual property or confidential information.

16. General

These Terms, together with the Privacy Policy and any order form or school agreement, constitute the entire agreement regarding the Service. If a provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.

We may update these Terms from time to time. Material changes will be notified through the Service or by other reasonable means. Continued use after the effective date constitutes acceptance.
